Terms of Service

These Terms of Service govern your access to and use of the seeCOLe platform, MARY AI, and all associated services provided by seeCOLe LLC. Please read them carefully before using our Services.

Important Notice

These Terms of Service constitute a legally binding agreement between you and seeCOLe LLC. By accessing or using our Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

1. Acceptance of Terms

By accessing or using the seeCOLe website (seecole.app), the MARY AI platform, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms and conditions that may apply to specific features or services.

If you do not agree to these Terms, you must immediately discontinue use of our Services. We reserve the right to update these Terms at any time, and your continued use of the Services following any changes constitutes your acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms, the following definitions apply:

  • "seeCOLe" means seeCOLe LLC, a limited liability company organised under the laws of the United States.
  • "MARY" means the Medical Assistant and Research sYstem, seeCOLe's AI-powered clinical intelligence platform.
  • "Services" means the seeCOLe website, the MARY platform, and all related software, applications, and services provided by seeCOLe.
  • "User" means any individual or organisation that accesses or uses the Services.
  • "Client" means a healthcare organisation or individual that has entered into a licensing or service agreement with seeCOLe.
  • "Authorised User" means an individual who has been granted access to the Services by a Client and who has completed the required authentication and training.
  • "PHI" means Protected Health Information as defined under the Health Insurance Portability and Accountability Act (HIPAA).
  • "EHR" means Electronic Health Record system.
  • "FHIR" means Fast Healthcare Interoperability Resources, the standard for healthcare data exchange.

3. Description of Services

seeCOLe provides an augmented reality healthcare technology platform that enables Authorised Users to access patient EHR data in real-time through voice commands, AR glasses, mobile devices, and desktop computers. The MARY AI system provides clinical intelligence, proactive alerts, and documentation assistance by connecting to FHIR R4-compliant EHR systems via SMART on FHIR OAuth2 authentication.

The Services are intended for use by licensed healthcare professionals in clinical settings. The MARY platform is a clinical decision support tool and is not intended to replace the professional judgment of qualified healthcare providers.

seeCOLe reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of any material changes to the Services.

4. Eligibility

To use the Services, you must:

  • Be at least 18 years of age
  • Be a licensed healthcare professional or an employee of a healthcare organisation that has entered into a valid agreement with seeCOLe
  • Have the legal authority to enter into these Terms on behalf of yourself or your organisation
  • Not be prohibited from using the Services under applicable law

Access to clinical features of the MARY platform requires additional verification, including completion of seeCOLe's onboarding and training programme and establishment of authenticated credentials.

5. Accounts and Access

5.1 Account Creation

Access to the MARY platform is granted through a combination of voice password authentication and personal QR code scanning. Authorised Users are responsible for maintaining the confidentiality of their authentication credentials and must not share them with any other person.

5.2 Account Security

You are responsible for all activity that occurs under your account. You must immediately notify seeCOLe at carl@seecole.app if you become aware of any unauthorised use of your account or any other security breach.

5.3 Access Levels

seeCOLe offers different access levels based on clinical role and training completion. Certain high-acuity settings (including surgery and isolation rooms) require additional "superuser" certification. Access to these settings will only be granted upon completion of the required training programme.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in any way that violates applicable federal, state, or local laws or regulations, including HIPAA and other healthcare privacy laws
  • Access patient data for any purpose other than direct patient care or legitimate clinical operations
  • Attempt to gain unauthorised access to any part of the Services, other accounts, or computer systems connected to the Services
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Services
  • Use the Services to transmit any unsolicited or unauthorised advertising or promotional material
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the Services or the data contained therein
  • Use the Services to develop a competing product or service
  • Share, sublicense, or resell access to the Services without seeCOLe's prior written consent

7. Clinical Use and Medical Disclaimer

Clinical Decision Support Tool

MARY is a clinical decision support tool designed to assist licensed healthcare professionals. It is not a substitute for professional medical judgment, diagnosis, or treatment. All clinical decisions remain the sole responsibility of the qualified healthcare professional.

The MARY platform retrieves and presents patient data from connected EHR systems to assist clinicians in their workflow. While MARY's architecture is designed to prevent AI hallucination by constraining outputs to verified EHR data, seeCOLe does not warrant that the information presented is error-free, complete, or suitable for any particular clinical purpose.

Healthcare organisations deploying the Services are responsible for ensuring that all Authorised Users are appropriately trained, that the Services are used within the scope of their intended purpose, and that all applicable clinical governance and regulatory requirements are met.

seeCOLe is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. Nothing in the Services should be construed as medical advice.

8. Intellectual Property

8.1 seeCOLe's Intellectual Property

The Services, including all software, algorithms, user interfaces, designs, text, graphics, logos, and other content, are the exclusive property of seeCOLe LLC and are protected by United States and international intellectual property laws. seeCOLe retains all rights, title, and interest in and to the Services and all associated intellectual property.

8.2 License Grant

Subject to your compliance with these Terms and any applicable licensing agreement, seeCOLe grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal clinical operations. This licence does not include the right to sublicense, modify, adapt, translate, reverse engineer, or create derivative works based on the Services.

8.3 Feedback

If you provide seeCOLe with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant seeCOLe a perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and incorporate such Feedback into the Services without any obligation to you.

9. Payment and Licensing

Access to the MARY platform is available under the following licensing tiers, as detailed in your service agreement:

  • Individual Clinician Licence: For individual healthcare professionals. Pricing and terms as set out in the applicable order form.
  • Departmental Licence: For a defined department or clinical unit within a healthcare organisation. Pricing and terms as set out in the applicable order form.
  • Enterprise Licence: For full health system deployment. Pricing and terms as set out in the applicable enterprise agreement.

All fees are due in accordance with the payment terms set out in your service agreement. seeCOLe reserves the right to suspend access to the Services for non-payment. All fees are non-refundable except as expressly provided in your service agreement or as required by applicable law.

10. Confidentiality

Each party agrees to maintain the confidentiality of the other party's Confidential Information and to use such information only for the purposes of performing obligations or exercising rights under these Terms. "Confidential Information" means any information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

This obligation of confidentiality does not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without use of the Confidential Information; or (d) is required to be disclosed by law or court order.

11. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

seeCOLe does not warrant that: (a) the Services will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Services will be accurate or reliable; (c) the quality of any information or other material obtained through the Services will meet your expectations; or (d) any errors in the Services will be corrected.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL seeCOLe LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL seeCOLe'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO seeCOLe IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless seeCOLe LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) your violation of any third-party rights; or (d) any clinical decisions made by you or your organisation based on information provided by the Services.

14. Termination

seeCOLe may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your use of the Services at any time by contacting us at carl@seecole.app. Termination of your account does not relieve you of any obligations incurred prior to termination, including any payment obligations.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Maryland, USA, and shall be conducted in English.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Changes to These Terms

seeCOLe reserves the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where appropriate, by sending you an email notification or displaying a prominent notice on our website.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
